Job Description

Job Responsibilities:

Corporate Secretarial:

a. Convening, Conducting and attending various meetings of the Company like Board Meetings, Annual General Meetings, Extra-Ordinary General Meetings, both physically and through Video Conferencing and taking care of various compliances with respect to the same.

b. Drafting of Notice, Agenda, Minutes and resolutions of the Board and Shareholders meetings, as per the Companies Act and the Secretarial Standards

c. End-to-end management of all corporate actions including change in Board of Directors, Allotment of Shares (both equity & preference), Transfer of Shares, Rights Issue, Change of Registered Office, Change of Corporate Office, Appointment/ Re-appointment/ Cessation of KMPs, Alteration in MOA/ AOA, passing of resolutions through Circulation, Share Stamping, Procurement of Director Identification Number, etc.

d. Monitoring the inflow of funds through private equity and debt, rights issue, share transfers etc. and ensuring compliance to the same in all aspects.

e. Taking care of the annual filings of the companies including but not limited to preparation of documents required for Board & Annual General Meetings, Annual Report and timely filing of returns with the concerned authorities for the same.

f. Preparation and timely filing of all returns and forms with the Registrar of Companies including but not limited to Annual Filing Forms, XBRL Returns, Corporate Action Returns, and so on.

g. Preparation and maintenance of all statutory registers including Register of Directors, Members, KMPs, Contracts.

h. Liaising with the concerned authorities including, MCA, ROC, RBI, DIN Cell, etc. for necessary corporate actions.

RBI/ FEMA:

a. Preparation and timely filing of all returns to be submitted with RBI, including both XBRL & Non-XBRL, including but not limited to returns like Annual Return of Foreign Liabilities & Assets, NBS-9, DNBS-2, DNBS-13, SAC

b. Management of Foreign Direct Investment (FDI), i.e., allotment and transfer of shares to foreign national and preparation and timely filing of FCGPR & FCTRS returns to RBI, pertaining to the same

c. External Commercial Borrowings (ECB) documentation.

Legal:

a. End-to-end Contract management including vetting and finalization of various kinds of agreements, arrangements, MOUs, etc. of the Company with various vendors and authorities.

b. Drafting of various, notices, letters, representations, declarations, consents, affidavits, NOCs, etc. required for different corporate actions of the Company.

c. Liaising with various vendors, service providers, third parties, etc. for finalization of agreements.
